SUBSCRIPTION
As you subscribe to Market Insight with MemoryExchange, your subscription must be fully paid before you will be provided full access to MemoryExchange Market Insight service coverage that your subscribe. You agree to pay all fees and charges incurred in connection with your Login-in ID and password, including applicable taxes and communications or access charges, at the rates in effect when the charges were incurred. The list of current fees is available at the Membership Fee page. MemoryExchange may change subscription rates in the normal course of business. In that case, you will be notified of the new rates (if any) prior to the end of your subscription term. All charges incurred in connection with your account will be billed to the credit card you designate during the registration process. In the event that you believe your User name and password have been used to access MemoryExchange without your authorization, please call MemoryExchange Customer Service at the telephone number listed below without delay. Please note: You are responsible for paying any charges billed to your credit card by an unauthorized third party.

USER AGREEMENT
MemoryExchange hereby grants you a non-exclusive, non-transferable license to access and use MemoryExchange Service for the fees and under the terms described in this Agreement. Only one person at a time may access MemoryExchange Service using the log-in ID and Password without the prior consent of MemoryExchange. The User may, free of charge and on an occasional basis, make copies in paper form of an individual article appearing in MemoryExchange for non-commercial use provided the User includes all copyright and other proprietary rights notices that appeared on the original and includes a notice indicating that MemoryExchange is the source of the material. For all other hard copy uses please contact Service Centre through service@memoryexchange.com for information or instructions. Fees are determined by the extent of use. The User may not disseminate any portion of MemoryExchange Service through electronic means, including mail lists or electronic bulletin boards, without the prior consent of MemoryExchange. Consent for special arrangements regarding electronic distribution may be obtained from MemoryExchange by contact MemoryExchange Service Centre through service@memoryexchange.com. Except as expressly permitted in this Agreement, MemoryExchange Service may not be reproduced, transmitted, or distributed without MemoryExchange's permission.

INDEMNIFICATION
You hereby agree to indemnify, defend and hold MemoryExchange, its subsidiaries, parent corporation and affiliates, and all of their respective officers, directors, owners, employees, agents, licensors, representatives, licensors and suppliers, harmless from and against any and all liability, losses, expenses, damages and costs (including attorneys' fees), incurred by any MemoryExchange in connection with any claim arising out of your use of the Services, any use or alleged use of your accounts or your passwords by any person whether or not authorized by you, your violation of these the Terms, your connection to the Services, or your violation of the rights of any other person or entity. TERMINATION
Either you or MemoryExchange may terminate the Terms with or without cause at any time and effective immediately. You may terminate the Terms by discontinuing use of the Service and destroying all materials obtained from the Service. The Terms will terminate immediately without notice from MemoryExchange if you, in MemoryExchange's sole discretion, fail to comply with any provision of the Terms. Upon termination by you or MemoryExchange, you must destroy promptly all materials obtained from the Service and any copies thereof. Sections 3, 7~11 shall survive any termination of the Terms.

ENTIRETY
This is an Agreement constitutes the entire agreement between the parties relating to MemoryExchange and supersedes any and all other agreements, oral or in writing, with respect to MemoryExchange. The failure of MemoryExchange to insist upon strict compliance with any term of this Agreement shall not be construed as a waiver with regard to any subsequent failure to comply with such term or provision. This Agreement is personal to you, and you may not assign your rights or obligations to anyone. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.

APPLICABLE LAW & JURISDICTION
This Agreement, your rights and obligations, and all actions contemplated by this Agreement shall be governed by the laws of the Taiwan R.O.C. as if the Agreement was a contract wholly entered into and wholly performed within Taiwan R.O.C..
